Le Commissaire aux Comptes (CAC) est un auditeur extérieur à l’entreprise et légal. Sa mission a pour objectif de certifier la sincérité et la conformité des informations financières de l’entreprise avec les normes en vigueur. Pour cela, il mène un audit légal, selon la procédure définie par la loi. Le Commissaire aux Comptes a une mission d’intérêt général dans la mesure où la certification des comptes annuels permet de donner un niveau d’assurance élevé aux tiers. Sa désignation peut être obligatoire dans certains cas. Il est nommé pour une durée de 6 années ou 3 années (mission ALP).

Un commissaire aux apports a pour mission de vérifier l’évaluation des apports en nature au capital d’une société. Il exerce en toute indépendance, et par conséquent, ne peut pas être CAC de la même société. Le commissaire aux apports est nommé à l’unanimité des associés. À défaut de consensus, il est désigné par le tribunal de commerce sur requête du représentant légal. En SAS, sa nomination est obligatoire dès le premier apport en nature. Pour une SARL, sa nomination est facultative sous réserve :

que la valeur de chaque apport soit inférieure à 30 000 euros ;
et que le montant total des apports en nature soit inférieur à la moitié du capital social.

Le commissaire à la fusion est désigné parmi la liste des experts judiciaires ou des commissaires aux comptes de la Cour d’Appel de Paris. Il a pour mission d’analyser les critères d’évaluation retenus par les sociétés pour la fusion et par conséquent d’apprécier l’opération de fusion en vérifiant si le rapport d’échange est équitable entre les actionnaires. Le commissaire à la fusion établit un rapport sur les modalités financières, juridiques et aspects motivant la fusion. Celui-ci est déposé au Registre du commerce et des sociétés.

La mission du commissaire aux avantages particuliers consiste à décrire, juger et apprécier les préférences accordées aux actionnaires d’une société. Il établit ensuite un rapport sur l’évaluation des avantages particuliers dans lequel il détaille les avantages en question et leurs incidences éventuelles sur la situation des actionnaires existants.

La mission du commissaire à la transformation consiste à vérifier la valeur des biens à l’actif de la société et certifier que le montant des capitaux propres est au moins égal à celui du capital social.
